Ethical AI License Permission is hereby granted, free of charge, to any person obtaining a copy of this software, associated documentation files, AI models, and derivative works (collectively, the "Licensed Material"), to deal in the Licensed Material without restriction, including without limitation the rights to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the Licensed Material, and to permit persons to whom the Licensed Material is furnished to do so, subject to the following conditions: 1. Ethical Use: The licensee agrees to use the Licensed Material in compliance with ethical principles and for purposes that do not cause harm to individuals, society, or the environment. The licensee shall not use the Licensed Material for any illegal, malicious, or deceptive activities. For clarity, ethical principles include but are not limited to: a) Respect for human rights and dignity b) Prevention of discrimination and bias c) Protection of privacy and personal data d) Transparency in AI decision-making e) Environmental sustainability in AI deployment 2. Code and Data Review: The licensor reserves the right to request a review of the licensee's code and associatedå data that utilize or integrate the Licensed Material. Upon request, the licensee shall provide access to the relevant code and data for review by the licensor or their designated representative. The purpose of the review is to ensure compliance with the ethical use clause and to verify that the Licensed Material is not being used for harmful purposes. The code and data provided for review will be kept confidential and will not be made public. The licensor shall: a) Provide at least 30 days notice before any review b) Limit reviews to no more than once per calendar year, unless there is reasonable suspicion of a violation c) Sign a mutual non-disclosure agreement to protect trade secrets and proprietary information d) Conduct reviews in a manner that minimizes disruption to the licensee's operations The scope and depth of LLM usage in the review process shall be determined by the licensee's tier classification as specified in Section 4. For Tier 1 licensees, alternative open-source LLMs may be considered if cost is prohibitive. 3. Compliance: If the code and data review reveals any violations of the ethical use clause or the use of the Licensed Material for harmful purposes, the licensee shall be given: a) A detailed written report of the violations b) 60 days to address and resolve the identified issues c) The opportunity to dispute findings through an independent arbitrator Failure to comply with the ethical use clause or the code and data review process after these remediation steps may result in the termination of this license. 4. Review Expenses and Requirements: The requirements and expenses for code and data review shall be determined by the licensee's classification: Tier 1 - Individual or Small Organization - Annual revenue/valuation under $1 million USD - Requirements: a) Remote-only reviews b) Limited to 4 hours of review time c) Basic LLM usage (limited tokens/compute) d) Self-reported compliance checklist - Expenses: a) Fixed fee of $500 USD per review b) Basic LLM computational costs only Tier 2 - Medium Organization - Annual revenue/valuation between $1 million and $50 million USD - Requirements: a) Remote or hybrid reviews b) Limited to 2 business days c) Standard LLM usage d) Basic documentation review - Expenses: a) Standard hourly rate for reviewer b) LLM computational costs c) Basic travel expenses if on-site review required Tier 3 - Large Organization - Annual revenue/valuation exceeding $50 million USD - Requirements: a) Full on-site reviews as specified b) Comprehensive code and documentation review c) Full LLM analysis d) Detailed compliance documentation - Expenses: a) All expenses as originally specified, including triple accommodation rate b) Full LLM computational costs c) All travel and related expenses The licensee shall provide annual certification of their tier status. The licensor reserves the right to verify tier classification through publicly available information. Organizations receiving venture capital or similar funding shall be classified based on their post-money valuation. 5. Legal Fees: In the event of any legal action or proceeding arising out of or relating to this license, including but not limited to enforcing the terms and conditions herein, the licensee shall be responsible for paying all reasonable legal fees and expenses incurred by the licensor in connection with such action or proceeding. 6. Attribution: The above copyright notice and this permission notice shall be included in all copies or substantial portions of the Licensed Material. The licensee may request a waiver for this requirement in cases where attribution would be impractical or commercially detrimental, subject to written approval from the licensor. 7. Indemnification: The licensee agrees to indemnify, defend, and hold harmless the licensor and their representatives from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to the licensee's use of the Licensed Material or any breach of this license agreement. 8. Severability: If any provision of this license is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect. 9. Entire Agreement: This license constitutes the entire agreement between the parties with respect to the use of the Licensed Material and supersedes all prior or contemporaneous understandings regarding such subject matter. 10. Governing Law: This license shall be governed by and construed in accordance with the laws of the jurisdiction in which the licensor is located, without regard to its conflict of law provisions. THE LICENSED MATERIAL IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE LICENSED MATERIAL OR THE USE OR OTHER DEALINGS IN THE LICENSED MATERIAL.
